Permission problem will arise certainly, case-sensivity is a big problem
too.
You might have trouble with sparse-files, which mldonkey uses to store
the files currently being downloaded. I know, NTFS as a similar feature,
but AFAIK (V)FAT does not.
I would install mldonkey onto my normal Linux partition and only use the
FAT-partition to transfer files from/to Windows.
